Introduction

Please read these Terms of Service (“Terms” or “Terms of Service”) carefully before accessing or using Remote Team lnc.’s (“Remote Team” “us”, “we” or “our”) or www.remoteteam.com website (the “Website”) and/or Remote Team service for registered users (“Service”), you (“User”, “you” or “your”) agree to be bound by these terms of use (these “Terms”)

By accessing or using the Services, you agree to receive all communications and notices from us electronically. If you have questions about these Terms, contact our Customer Support team by submitting a request here(link).

If you do not wish to be bound by these Terms, you may not access or use the Website and products or service.

This Agreement sets forth the general terms and conditions of your use of the our website and any of its products or services (collectively, “Website” or “Services”).

If you are signing up for the Service on behalf of any third party, you represent that you are duly authorized to represent the third party entity and accept the terms of this Agreement on behalf of such entity, and any references to “you” in this Agreement refer also to such entity and all of its employees, consultants and agents. You are responsible for all activity on the Service that occurs under your account and the service.

We reserve the right to update and change these Terms of Service without notice and we posting an updated version to our website here. (add link)

Overview

Remote Team Inc. is an all-in-one HR solution for ‘remote first’ teams. Our fully-integrated service/platform helps companies automate and easily manage payments, tax compliance, expense reimbursements, time-off policies, team productivity, and more.

Eligibility.

We make the website and the Services available to Users 18 years of age or older. If you are not 18, you may not create an Account or use the Services. You must be a human to open an Account. Accounts registered by “bots” or other automated methods are not permitted. You may not maintain more than one Account at a time. By applying for an Account and using the Services, you represent and warrant that you are of legal age to form a binding contract and meet all of the foregoing eligibility requirements. If you do not meet these requirements, you may not access or use the Services or apply for an Account. We may refuse to provide the Services to anyone for any reason at any time, and may suspend or terminate your use of the Services without prior notice to you.

Accounts and membership

If you create an account on the Website, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but have no obligation to, monitor and review new accounts before you may sign in and use our Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration.

User content

We do not own any data, information or material (“Content”) that you submit on the Website in the course of using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may, but have no obligation to, monitor and review Content on the Website submitted or created using our Services by you. Unless specifically permitted by you, your use of the Website does not grant us the license to use, reproduce, adapt, modify, publish or distribute the Content created by you or stored in your user account for commercial, marketing or any similar purpose. But you grant us permission to access, copy, distribute, store, transmit, reformat, display and perform the Content of your user account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our own sole discretion, refuse or remove any Content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable.

Customer’s Rights

During the Term, Remote Team grants you a limited, non-transferable, non-sub licensable, non-exclusive right to access and use the hosted software products and related documentation included in the Service and all modifications and/or enhancements to any of the foregoing (hereinafter “Software”) via a web browser or other device owned or controlled by you for your internal business use. Nothing in this Agreement obligates Remote Team to deliver or make available any copies of computer programs or code from the Software to you, whether in object code or source code form. You agree to use the Service only in compliance with all applicable local, state, national, and international laws, rules and regulations (“Applicable Law”). You shall not, and shall not agree to, and shall not authorize, encourage or permit any third party to: Use the Service to upload, transmit or otherwise distribute any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, threatening, abusive, hateful, contains viruses, or is otherwise objectionable as reasonably determined by Remote Team; Use the Service for any fraudulent or inappropriate purpose; Attempt to decipher, decompile, delete, alter or reverse engineer any of the Software; Duplicate, make derivative works of, reproduce or exploit any part of the Service without the express written permission of Remote Team; Use any robot, spider, other automated device, or manual process to monitor or copy any content from the Service other than copying or exporting of the information provided, inputted or uploaded to the Service by you or on your behalf (“Data”) as contemplated in the Documentation; Rent, lease, distribute, or resell the Software, or use the Software for developing a competitive solution (or contract with a third party to do so), or remove or alter any of the logos, trademark, patent or copyright notices, confidentiality or proprietary legends or other notices or markings that are on or in the Software or displayed in connection with the Service. Remote Team shall maintain commercially reasonable administrative, physical, and technical safeguards for protection of the Services, and the security of your Data. Remote Team shall not (a) disclose your Data except as compelled by Applicable Law or as you expressly authorize in writing, or (b) access your Data except to provide the Service and prevent or address service or technical problems, or at your express request in connection with customer support matters. In the event we are compelled by Applicable Law to disclose your Data, we will provide you with notice thereof, (in advance, if possible) if permitted by Applicable Law.

Customer’s Responsibilities

Remote Team’s obligations regarding Support Services are subject to the following: You will promptly report to Remote Team all problems with the Software and will implement any corrective procedures provided by Remote Team reasonably promptly upon receipt of the request. You will provide Remote Team with all information, access, and full good faith cooperation reasonably necessary to facilitate the provision of the Support Services. Customer’s failure or delay in its performance of any of the foregoing relieves Remote Team of its obligations under this Agreement to the extent that such obligations are dependent upon Customer’s performance. You will provide Remote Team a list of contacts (including name, email address, and phone number) of those individuals authorized to open service requests on Customer’s behalf. These authorized contacts must have the access and authority to administer or configure the Software as required by the nature of the service request. Remote Team does not provide support directly to the end users of the Software. You are solely responsible for the use of the Software by its personnel and will properly train its personnel in the use and application of the Software. You are responsible for obtaining and maintaining appropriate equipment and ancillary services needed to connect to, access or otherwise use the Software, including, without limitation, computers, computer operating systems, Data storage, network devices, and web browsers. SUPPORT. Subject to the terms of this Agreement, Remote Team will, during the Services Period, provide customers with support services (“Support Services”). Support Services do not cover problems caused by the following: (i) accident; unusual physical, electrical or electromagnetic stress; neglect; misuse; failure of electric power, air conditioning or humidity control; operation of the Software with other media not in accordance with the manufacturer’s specifications; or causes other than ordinary use; (ii) Modified Code; or (iii) use of the Software with unsupported tools; or (iv) any issue not covered by Technical Support. Customer may request assistance from Remote Team for such problems, for an additional fee.

Payment, Refunds, Upgrading and Downgrading Terms

The Service is offered with a free trial for 30 days. If you need more than 30 days, you will only be able to continue using

the Service by paying in advance for additional usage. If you fail to pay for additional usage, your account will be frozen and inaccessible until payment is made.

For any upgrade or downgrade in plan level, will result in the new rate being charged at the next billing cycle. There will be no prorating for downgrades in between billing cycles.

Downgrading your Service may cause the loss of features or capacity of your account. The Company does not accept any liability for such loss.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes. Where required, The Company will collect those taxes on behalf of taxing authority and remit those taxes to taxing authorities.

Refunds are processed according to our fair refund policy.

Payment terms details will be specified as part of a specific commercial agreement between the company client.

Payment Service Providers and fees

If you make or receive payments using a Payment Service Provider, you acknowledge and agree that you will comply with any Payment Service Provider terms of service or other agreement between you and the Payment Service Provider. We will not be held liable for any losses or damages, direct or indirect, pecuniary or non-pecuniary, resulting from the actions or omissions of any Payment Service Provider, and we expressly disclaim any responsibility in this regard. Any fees for use of a Payment Service Provider to make payments or receive payments will be borne by you. Any fees imposed on you by a Payment Service Provider are in addition to any fees payable to us.

Except for Remote Team’s role as a limited payment agent for Contractors, Remote Team does not and will not provide banking, deposit taking, stored value, escrow, insurance or any other financial service to Users. Remote Team do not guarantee that the Contractors will pay own freelancers or users. Depending on your location, some Payment Methods may not be available to you, and we cannot guarantee that you will be able to use any Payment Method in connection with the Service even in locations where your preferred Payment Method is available for use. Depending on the desired Payment Method, Users may be required to enter into a separate Payment Service Provider agreement. Your use of any Payment Method is subject to the terms and conditions of the applicable Payment Service Provider’s rules and regulations and your agreement with them, and we will not be liable to you for any losses you suffer in connection with your use of any third-party payment services. Remote Team is not a party to your Payment Service Provider agreement and will not intervene in any disputes related to payments you make or receive using any third-party Payment Method. Users are solely responsible for payment of insufficient funds fees, overdraft fees, wire transfer fees or other bank fees that you or we incur in connection with Payment Service Provider transaction fees, taxes, and any other third-party Payment Method fees or charges. Remote Team does not charge Contractors any fees for payments processed through the Platform regardless of Payment Method, however, Remote Team is not responsible for any transaction fees, foreign exchange fees or any other fee imposed separately on a Contractor by a Payment Service Provider or by Contractor’s own financial institution. Remote Team is also not responsible for any Payment Service fee changing.

Disputes and Contract Cancellations

Reversals and Disputes. Clients should not initiate payments until Contractors have meet the acceptance criteria or other requirements detailed in a Contract. Except to satisfy the compliance obligations set forth in this terms, Remote Team cannot reverse payments or withhold funds from Contractors, and cannot cause Payment Service Providers to reverse payments or withhold funds from Contractors once funds have been received by Remote Team or the relevant Payment Service Provider. If a Client is not satisfied with the service provided by a Contractor or makes a payment in error, the Client must initiate a refund, reversal or other payment dispute process directly with the Contractor or with the relevant Payment Service Provider. Remote Team will not adjudicate payment or Contract disputes between Users regardless of Payment Method or Contract status under any circumstances, and Users are solely responsible for dispute settlement. Refunds and reversals of payments made through a Payment Service Provider are subject to the terms and conditions of your Payment Service Provider agreement.

User-Initiated Contract Cancellation. If a Client owes outstanding payments to a Contractor after completion of work, or if a Client is dissatisfied with the service provided by a Contractor, the Client or Contractor may initiate cancellation of the Contract through the Remote Team dashboard. Cancellation of a Contract through the Remote Team dashboard has no bearing whatsoever on the merits of a Contract dispute, or the interpretation of the terms of, or legality of a Contract. The Service records the initiator of, and the time and date of the cancellation. Users may not initiate or request payment for services related to, or alter the status of a Contract after it has been cancelled.

Contract Cancellation by Remote Team. Remote Team may cancel a Contract in the event of suspicious Account activity or Account compromise; fraud, harassment, and threats; unfair, deceptive, or abusive acts or practices; illegal acts; at the direction of a regulatory authority; or for any other violation of these Terms of Service. Remote Team may also cancel a Contract if a User is no longer a Remote Team Accountholder in good standing. Please contact us if you believe a Contract or another User is in violation of these Terms.

Severability

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

Links to Third Party Websites

Third party websites linked to and from the Website are not necessarily under the control of Remote Team. Remote Team shall have no responsibilities or liabilities whatsoever for the content or privacy practices of any such linked websites or any link or linking program at any time. Remote Team does not necessarily endorse companies (or related products or services) to or from which the Website is linked. If you decide to access any of the third party websites linked to the Website, you do so entirely at your own risk. You acknowledge and agree that you will not use any such third party websites linked to and from the Website, in any manner that violates or misappropriates or could result in a violation or misappropriation of intellectual property rights of such third party, including, without limitation, copyrights, trademarks, trade secrets and/or patent rights; but rather, that if you choose to use or access such third party website, you will do so according to such third party’s website terms of use. For avoidance of doubt, nothing in these Terms shall be interpreted as asserting or contesting any ownership rights in the intellectual property of such third party in any action or proceeding of whatever kind or nature.

Accuracy of information

Occasionally there may be information on the Website that contains typographical errors, inaccuracies or omissions that may relate to promotions and offers. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Website or on any related Service is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information on the Website including, without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Website should be taken to indicate that all information on the Website or on any related Service has been modified or updated.

Prohibited uses

In addition to other terms as set forth in the Agreement, you are prohibited from using the Website or its Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

Restricted Activities

You may not use the Remote Team in connection with any product, service, transaction or activity that involves:

  1. Violates any law or government regulation, or promotes or facilitates such by third parties;
  2. Violates any rule or regulation of Visa, Mastercard, American Express, Discover, JCB, Diners Club card, China UnionPay or any other electronic funds transfer network ;
  3. Is fraudulent, deceptive, unfair or predatory;
  4. Causes or threatens reputational damage to us;
  5. Involves any of the business categories listed in under this section; or
  6. Results in or creates a significant risk of chargebacks, penalties, damages or other harm or liability.

Certain Business Categories

You may not use the Remote Team Services in connection with any product, service, transaction or activity that involves:

  1. age restricted products or services
  2. aggregation or factoring, whether licensed or unlicensed
  3. airlines (exceptions apply if you get our prior written approval)
  4. bail bonds
  5. bankruptcy lawyers
  6. bidding fee auctions
  7. business or investment opportunity sales
  8. chain letters
  9. check cashing, wire transfers or money orders
  10. collection agencies
  11. counterfeit goods or any product or service that infringes upon the copyright, trademark or trade secrets of any third party
  12. credit card and identity theft protection
  13. credit counseling, repair or protection services, or mortgage consulting or reduction services
  14. cruise lines
  15. currency exchanges or dealers
  16. decryption and descrambler products designed to circumvent intellectual property rights or protections, including mod chips
  17. door-to-door sales
  18. drug paraphernalia
  19. embassies, foreign consulates or other foreign governments
  20. essay mills
  21. evading card association chargeback monitoring programs
  22. extended warranties
  23. real estate purchases with no money down
  24. flea markets
  25. fortune tellers
  26. gambling (including but not limited to lotteries, Internet gaming, contests, sweepstakes, or offering of prizes as an inducement to purchase goods or services) (exceptions apply in some countries/regions and if you get our prior written approval)
  27. “get rich quick” schemes
  28. human hair, fake hair or hair-extensions
  29. loan modifiers
  30. mail-order brides
  31. marijuana dispensaries and related businesses
  32. money transmitters or money service businesses
  33. multi-level marketing or pyramid schemes
  34. negative response marketing
  35. offering substantial rebates or special incentives to the cardholder subsequent to the original purchase
  36. online or other non-face-to-face pharmacies or pharmacy referral services
  37. online or other non-face-to-face tobacco or e-cigarette sales
  38. prepaid phone cards, phone services or cell phones
  39. pseudo pharmaceuticals
  40. products/services that promote hate, violence, harassment or abuse, if illegal
  41. quasi-cash or stored value
  42. securities brokers
  43. sexually-oriented or pornographic products or services
  44. sharing cardholder’s data with another merchant for payment of up-sell or cross-sell products or services
  45. shipping or forwarding brokers
  46. social media activity sales (such as sales of Twitter followers, Facebook likes or Youtube views)
  47. sports forecasting or odds making
  48. prescription drugs, illegal drugs or substances designed to mimic illegal drugs
  49. telecommunications equipment and telephone sales
  50. telemarketing
  51. timeshares
  52. tour operators (exceptions apply if you get our prior written approval)
  53. travel agencies or travel clubs (exceptions apply if you get our prior written approval)
  54. virtual currency or credits that can be monetized, re-sold or converted to physical or digital goods or services or otherwise exit the virtual world
  55. weapons and munitions
  56. entertainment venues including but not limited to nightclubs, bars
  57. pre-payment services
  58. personal computer technical support (exceptions apply if you get our prior written approval )

Use of the Remote Team Site

You agree to use the Remote Team Site only for lawful purposes and in a manner which does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Remote Team Site by any third party (including intellectual property rights, rights of confidentiality or privacy). As such, you must not: (a) copy, download, reproduce, republish, broadcast, transmit, in any manner whatsoever, any material on the Remote Team Site except as is reasonably necessary for your own personal, non-commercial use; (b) send any materials which contain viruses or any other destructive elements. Use of these Services may be available through a compatible mobile device, the Internet, and may require software. You agree that you are solely responsible for these requirements, including any applicable changes, updates and fees as well as the terms of your agreement with your mobile device and telecommunications provider.

Interruption of Service

From time to time, the Services may be unavailable for periods of time for maintenance and / or modifications to the Website. We will endeavor to make keep maintenance down time as brief as possible. However, we cannot guarantee that the Services will be available to you, and we will not be liable to you for any losses or damages, pecuniary or non-pecuniary, resulting from the interruption of your use of the Services.

Intellectual Property Rights

Copyright All materials displayed or performed on or accessible through the Website, including any text, images and other materials contained or displayed on any Remote Team publication, product, service, report or e-mail are proprietary to Remote Team, except where otherwise noted, and constitute valuable intellectual property of Remote Team, protected by applicable patent, copyright and trade secret laws and by international treaty provisions. No material from any part of the Website or any Remote Team publication, product, service, report, e-mail or any third party website linked to and from the Website may be downloaded, transmitted, broadcasted, transferred, assigned, reproduced, stored in a retrieval system, or in any other way used or otherwise disseminated in any form to any person or entity, without the explicit prior written consent of Remote Team. All unauthorized reproduction or other use of material from Remote Team or the Website shall be deemed willful infringement(s) of Remote Team’s copyright and other proprietary and intellectual property rights. You acknowledge and agree that you will not use the Website or any materials accessible through the Website in any manner that violates or misappropriates or could result in a violation or misappropriation of intellectual property rights of Remote Team, including, without limitation, copyrights, trademarks, trade secrets and/or patent rights. Under no circumstances shall you assert or contest any ownership rights in and to Remote Team’s intellectual property in any action or proceeding of whatever kind or nature, nor shall you take any action that may prejudice, render generic, weaken or diminish the good will associated with Remote Team’s intellectual property rights. Remote Team expressly reserves all rights in connection with its intellectual property, including without limitation the right to block the transfer of its products and services and/or to track usage thereof, through electronic tracking technology, and all other lawful means, now known or hereafter devised. Remote Team reserves the right, without further notice, to pursue to the fullest extent permitted by law any and all criminal and civil remedies for the violations of its rights. Additionally, the Website may contain third party proprietary information and/or Trademarks, which shall be subject to their respective owners’ terms of use.

Trademark

The trademarks, trade names, domain names, logos, service marks, slogans, and other indicia of origin (collectively the “Trademarks”) displayed on the Website are registered and/or unregistered Trademarks of either Remote Team and/or its affiliates and/or its partners and/or third parties. Nothing contained on the Website should be construed as granting by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Website without the explicit written consent of Remote Team or its respective owner. Misuse of any Trademarks, or any other content, displayed on the Website, is prohibited. Remote Team reserves the right, without further notice, to pursue to the fullest extent permitted by law any and all criminal and civil remedies for the violations of its rights.

Termination; Survival

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability to you, in our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms. If you wish to terminate your account, please contact us via email. after which we will permanently delete the Contract from our servers.

Disclaimer and Limitation of Liability

While Remote Team shall use reasonable efforts to provide up-to-date and accurate information, Remote Team makes no warranties or representations as to the accuracy of the information and assumes no liability or responsibility for any errors or omissions in the information provided on the Website. You expressly acknowledge and agree that your use of the Website is at your own risk. All Information available through the Website is provided on an “AS IS” basis. Remote Team makes no warranty that the Website will meet your requirements, be uninterrupted, secure or error free, free of viruses or other harmful components or destructive files. The content of the Website is subject to change without notice. Remote Team SPECIFICALLY DISCLAIMS ANY AND ALL WARANTIES, EXPRESS OR IMPLIED, REGARDING ANY INFORMATION PROVIDED THROUGH OR IN CONNECTION WITH THE WEBSITE. Remote Team’s OBLIGATIONS WITH RESPECT TO ITS PRODUCTS AND SERVICES ARE GOVERNED SOLELY BY THE AGREEMENTS UNDER WHICH THEY ARE PROVIDED AND NOTHING ON THIS WEBSITE SHOULD BE CONSTRUED TO ALTER SUCH AGREEMENTS. IN NO EVENT WILL Remote Team ASSUME ANY RESPONSIBILITY, AND WILL NOT BE LIABLE FOR, ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT, YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF OR BROWSING IN THE WEBSITE, OR YOUR DOWNLOADING OF ANY MATERIALS, DATA, TEXT OR IMAGES FROM THE WEBSITE. IN NO EVENT SHALL Remote Team, ITS AFFILIATES, EMPLOYEES, AGENTS OR REPRESENTITIVES BE LIABLE FOR ANY INDIRECT, CONSEQUENTAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, FOR ERRORS OR OMISSION IN THE INFORMATION IN CONECTION WITH THE WEBSITE).

Indemnity

You agree to hold Remote Team harmless, indemnify and defend Remote Team, its officers, directors, employees, affiliates and representatives from and against any and all actions, causes of action, suits, damages, liabilities, losses, claims and demands of whatever kind or nature, in law or equity, directly or indirectly, arising out of or in any way related to your violation of the Terms or your access to the Website, and all costs and expenses incurred by Remote Team as a result thereof, including attorney’s fees and court costs.

Notice to California Residents

If you are a California resident, under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at (800) 952-5210 in order to resolve a complaint regarding the Service or to receive further information regarding use of the Service.

Introduction and Applicability of this Privacy Policy

Remote Team, Inc. (“Remote Team”, “us”, “we”, or “our”) operates the www.remoteteam.com website (the “Service” or “website”).

This Privacy Policy informs you of our policies regarding the collection, use and disclosure of information, including Personal Information (defined below) about you, when you use our Service.

We will not use or share your Personal Information with anyone except as described in this Privacy Policy.

We use your Personal Information for providing and improving the Service. By using the Service, you agree to the collection and use of information in accordance with this policy.

Unless otherwise defined in this Privacy Policy, capitalized terms used in this Privacy Policy have the same meanings as in our Terms and Conditions.

If you do not agree with the terms, do not access or use the Services, Websites or any other aspect of Remote Team’s business.

This Privacy Policy does not apply to any third party applications or software that integrate with the Services through the Remote Team service (“Third Party Services”), or any other third party products, services or businesses. In addition, a separate agreement governs delivery, access and use of the Services, including the processing of any messages, files or other content submitted through Services accounts.

Information We Collect And Receive

We may collect and receive Customer Data and other information and data (“Other Information”) in a variety of ways:

• Customer Data. Customers or individuals granted access to a Workspace by a Customer (“Authorized Users”) routinely submit Customer Data to Remote Team when using the Services.

• Other Information. We also collects, generates and/or receives Other Information:

I. Workspace and Account Information. To create or update a Workspace account, you or your Customer (e.g., your employer) supply Remote Team with an email address, phone number, password, domain and/or similar account details. In addition, Customers that purchase a paid version of the Services provide Remote Team (or its payment processors) with billing details such as credit card information, banking information and/or a billing address. II. Usage Information.

 Services Metadata. When an Authorized User interacts with the Services, metadata is generated that provides additional context about the way Authorized Users work. For example, Remote Team logs the Workspaces, channels, people, features, content and links you view or interact with, the types of files shared, and what Third Party Services are used (if any).

 Log data. As with most websites and technology services delivered over the Internet, our servers automatically collect information when you access or use our Websites or Services and record it in log files. This log data may include the Internet Protocol (IP) address, the address of the web page visited before using the Website or Services, browser type and settings, the date and time the Services were used, information about browser configuration and plugins, language preferences and cookie data.

 Device information. Remote Team collects information about devices accessing the Services, including type of device, what operating system is used, device settings, application IDs, unique device identifiers and crash data. Whether we collect some or all of this Other Information often depends on the type of device used and its settings.

 Location information. We receive information from you, your Customer and other third-parties that helps us approximate your location. We may, for example, use a business address submitted by your employer, or an IP address received from your browser or device to determine approximate location. We may also collect location information from devices in accordance with the consent process provided by your device.

III. Cookie Information. Remote Team uses cookies and similar technologies in our Websites and Services to help us collect Other Information. The Websites and Services may also include cookies and similar tracking technologies of third parties, which may collect Other Information about you via the Websites and Services and across other websites and online services. For more details about how we use these technologies, and your opt-out opportunities and other options.

IV. Third Party Services. A Customer can choose to permit or restrict Third Party Services for its Workspace. Typically, Third Party Services are software that integrate with our Services, and a Customer can permit its Authorized Users to enable and disable these integrations for its Workspace. We may also develop and offer Remote Team applications that connect the Services with a Third Party Service. Once enabled, the provider of a Third Party Service may share certain information with Remote Team. For example, if a cloud storage application is enabled to permit files to be imported to a Workspace, we may receive the user name and email address of Authorized Users, along with additional information that the application has elected to make available to Remote Team to facilitate the integration. Authorized Users should check the privacy settings and notices in these Third Party Services to understand what data may be disclosed to Remote Team. When a Third Party Service is enabled, Remote Team is authorized to connect and access Other Information made available to Remote Team in accordance with our agreement with the Third Party Provider and any permission(s) granted by Customer (including, by its Authorized User(s)). We do not, however, receive or store passwords for any of these Third Party Services when connecting them to the Services.

V. Contact Information. In accordance with the consent process provided by your device, any contact information that an Authorized User chooses to import (such as an address book from a device) is collected when using the Services.

VI. Third Party Data. Remote Team may receive data about organizations, industries, lists of companies that are customers, Website visitors, marketing campaigns and other matters related to our business from parent corporation(s), affiliates and subsidiaries, our partners, or others that we use to make our own information better or more useful. This data may be combined with Other Information we collect and might include aggregate-level data, such as which IP addresses correspond to zip codes or countries. Or it might be more specific: for example, how well an online marketing or email campaign performed.

VII. Additional Information Provided to Remote Team. We also receive Other Information when submitted to our Websites or in other ways, such as if you participate in a focus group, contest, activity or event, apply for a job, enroll in a certification program or other educational program hosted by Remote Team or a vendor, request support, interact with our social media accounts or otherwise communicate with Remote Team.

Generally, no one is under a statutory or contractual obligation to provide any Customer Data or Other Information (collectively, “Information”). However, certain Information is collected automatically and, if some Information, such as Workspace setup details, is not provided, we may be unable to provide the Services.

Cookies

Cookies are files with a small amount of data, which may include an anonymous unique identifier. Cookies are sent to your browser from a web site and transferred to your device. We use cookies to collect information in order to improve our services for you.

You can instruct your browser to refuse all cookies or to indicate when a cookie is being sent. The Help feature on most browsers provide information on how to accept cookies, disable cookies or to notify you when receiving a new cookie.

If you do not accept cookies, you may not be able to use some features of our Service and we recommend that you leave them turned on.

How We Use Information

Customer Data will be used by Remote Team in accordance with Customer’s instructions, including any applicable terms in the Customer Agreement and Customer’s use of Services functionality, and as required by applicable law. Remote Team is a processor of Customer Data and Customer is the controller. Customer may, for example, use the Services to grant and remove access to a Workspace, assign roles and configure settings, access, modify, export, share and remove Customer Data and otherwise apply its policies to the Services.

Remote Team uses Other Information in furtherance of our legitimate interests in operating our Services, Websites and business. More specifically, Remote Team uses Other Information:

• To provide, update, maintain and protect our Services, Websites and business. This includes use of Other Information to support delivery of the Services under a Customer Agreement, prevent or address service errors, security or technical issues, analyze and monitor usage, trends and other activities, or at an Authorized User’s request.

• As required by applicable law, legal process or regulation.

• To communicate with you by responding to your requests, comments and questions. If you contact us, we may use your Other Information to respond.

• To develop and provide search, learning and productivity tools and additional features. Remote Team tries to make the Services as useful as possible for specific Workspaces and Authorized Users. For example, we may improve search functionality by using Other Information to help determine and rank the relevance of content, channels or expertise to an Authorized User, make Services or Third Party Service suggestions based on historical use and predictive models, identify organizational trends and insights, to customize a Services experience, or create new productivity features and products.

• To send emails and other communications. We may send you service, technical and other administrative emails, messages, and other types of communications. We may also contact you to inform you about changes in our Services, our Services offerings, and important Services-related notices, such as security and fraud notices. These communications are considered part of the Services and you may not opt out of them. In addition, we sometimes send emails about new product features, promotional communications or other news about Remote Team. These are marketing messages so you can control whether you receive them. If you have additional questions about a message you have received from Remote Team please reach out through the contact mechanisms described below.

• For billing, account management and other administrative matters. Remote Team may need to contact you for invoicing, account management, and similar reasons and we use account data to administer accounts and keep track of billing and payments.

• To investigate and help prevent security issues and abuse.

If Information is aggregated or de-identified so that it is no longer reasonably associated with an identified or identifiable natural person, Remote Team may use it for any business purpose. To the extent Information is associated with an identified or identifiable natural person and is protected as personal data under applicable data protection law, it is referred to in this Privacy Policy as “Personal Data.”

Data Retention

Remote Team will retain Customer Data in accordance with a Customer’s instructions, including any applicable terms in the Customer Agreement and Customer’s use of Services functionality, and as required by applicable law. Depending on the Services plan, Customer may be able to customize its retention settings and apply those customized settings at the Workspace level, channel level or other level. Customer may also apply different settings to messages, files or other types of Customer Data. The deletion of Customer Data and other use of the Services by Customer may result in the deletion and/or de-identification of certain associated Other Information. For more detail please contact us. We may retain Other Information pertaining to you for as long as necessary for the purposes described in this Privacy Policy. This may include keeping your Other Information after you have deactivated your account for the period of time needed for Remote Team to pursue legitimate business interests, conduct audits, comply with (and demonstrate compliance with) legal obligations, resolve disputes, and enforce our agreements.

Communications

We may contact you with newsletters and other marketing information that may be of interest to you. You may opt out of receiving any, or all, of these marketing communications from us by following the unsubscribe link or instructions provided in any email we send or by contacting us. Please note that we may still send you transactional or administrative messages related to the Service even after you have opted out of receiving marketing communications.

Once the United Kingdom is no longer a Member State of the European Union, We will comply with the E.U.- U.S. Privacy Shield in respect of the collection, use and retention of personal data transferred from the United Kingdom to the United States in reliance on the E.U. – U.S. Privacy Shield, or any successor framework between the U.S. and the U.K.

• European Union Model Clauses. We offers European Union Model Clauses, also known as Standard Contractual Clauses, to meet the adequacy and security requirements for our Customers that operate in the European Union and the United Kingdom, and other international transfers of Customer Data.

• Asia-Pacific Economic Cooperation Cross-Border Privacy Rules System And Privacy Recognition For Processors. Our privacy practices, described in this Privacy Policy, comply with the Asia-Pacific Economic Cooperation (“APEC”) Cross Border Privacy Rules (“CBPR”) system and the Privacy Recognition for Processors (“PRP”). The APEC CBPR system provides a framework for organizations to ensure protection of personal information transferred among participating APEC economies and the PRP demonstrates an organization’s ability to provide effective implementation of a personal information controller’s privacy obligations related to the processing of personal information.

If you have an unresolved privacy or data use concern related to our APEC CBPR or PRP certifications that we have not addressed satisfactorily, you may contact us.

Your Rights

Individuals located in certain countries, including the European Economic Area and the United Kingdom, have certain statutory rights in relation to their personal data. Remote Team GDPR compliance

The EU General Data Protection Regulation (GDPR) comes into effect on May 25, 2018.


Does GDPR affect me?

If you’re based in the EU or do business in the EU, yeah! GDPR has a long reach. If you have any EU personal data in your Remote Team account, such as names, email addresses, ID numbers, or… anything personally identifiable, then GDPR applies. You are a Controller of personal data under GDPR, so you need to enter into GDPR-compliant data processing agreements with any online services and third party vendors you rely on, including Remote Team. These agreements are commonly called a Data Processing Addendum, or DPA.

Remote Team EU-US and Swiss-US Privacy Shield policy

The privacy of your data, and it is your data, not ours! This is important for us. The only time we’ll access your account is to help you with a problem or squash a software bug. We’ll never open any uploaded files unless you ask us to. We log all access to all accounts by IP address, so we can always verify that no unauthorized access has occurred for as long as the logs are kept.

This policy applies to personal data from the European Union and from Switzerland that is collected, used, and retained by us in the United States.


Identity & Access

When you sign up for Remote Team, we ask for your name, company name, and email address. That’s just so you can personalize your new account, and we can send you invoices, updates, or other essential information. We’ll never sell your personal info to a third party, and we won’t use your name or company in marketing statements without your permission either.

You always have the right to access the personal information we store about you. And, if you wish to further limit our use of your personal information, please contact Sahin Boydas at privacyshield@remoteteam.com.

Users of Remote Team can store any type of information in Remote Team, but Remote Team does not access or share that data, and does not know what type of data you or other users are storing. The data is only used by the account owner and invited users as they intend to use it.

When you write Remote Team with a question or to ask for help, we’ll keep that correspondence, and the email address, for future reference. When you browse our marketing pages, we’ll track that for statistical purposes (like conversion rates and to test new designs). We also store any information you volunteer, like surveys, for as long as it makes sense.

The only times we’ll ever share your info:

  • To provide products or services you’ve requested, with your permission.
  • To investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of our Terms of Service, or as otherwise required by law.
  • If Remote Team is acquired by or merged with another company (we don’t plan on that, but if it happens), we’ll notify you well before any info about you is transferred and becomes subject to a different privacy policy.

Remote Team does not share individual’s personal data with non-agent third parties. If this policy changes in the future, we will notify individuals and provide them with an opportunity to opt-out of having their data shared.


Your Rights With Respect to Your Information

You may have heard about the General Data Protection Regulation (“GDPR”) in Europe. GDPR gives people under its protection certain rights with respect to their personal information collected by us on the Site. Accordingly, Remote Team recognizes and will comply with GDPR and those rights, except as limited by applicable law. The rights under GDPR include:

Law Enforcement

While we may be required to disclose your personal information in response to a lawful request by public authorities, including to meet national security or law enforcement requirements, Remote Team won’t otherwise hand your data over to law enforcement unless a court order says we have to. We flat-out reject such requests from local and federal law enforcement when they seek data without a court order. And unless we’re legally prevented from it, we’ll always inform you when such requests are made.


Security & Encryption

All data is encrypted via SSL/TLS when transmitted from our servers to your browser. The database backups are also encrypted. Data isn’t encrypted while it’s live in our database (since it needs to be ready to send to you when you need it), but we go to great lengths to secure your data at rest—you can read more about that on our security page.

Cookies

In order to improve our services and the website, and provide more convenient, relevant experiences to you, we and our vendors may use “cookies”, “web beacons”, and similar devices to track your activities.


Third Parties

You understand that Remote Team uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to provide you with our services. A current list of vendors is available upon request.

In cases of onward transfer to these third parties for data of EU or Swiss individuals received pursuant to the Privacy Shield Frameworks, Remote Team is potentially liable should any issues or concerns arise.


Deleted Data

When you cancel your account, we’ll ensure that nothing is stored on our servers past 30 days. Anything you delete on your account while it’s active will also be purged within 30 days (up until then it’s available in the trash can).


EU-US and Swiss-US Privacy Shield Framework

Remote Team complies with the EU-U.S. Privacy Shield Framework and the Swiss-U.S. Privacy Shield Framework as set forth by the U.S. Department of Commerce regarding the collection, use, and retention of personal information transferred from the European Union and Switzerland to the United States, respectively. Remote Team has certified to the Department of Commerce that it adheres to the Privacy Shield Principles. If there is any conflict between the terms in this privacy policy and the Privacy Shield Principles, the Privacy Shield Principles shall govern. Remote Team is subject to the investigatory and enforcement powers of the Federal Trade Commission (FTC) with regard to the Privacy Shield Frameworks.

In compliance with the US-EU and Swiss-US Privacy Shield Principles, Remote Team commits to resolve complaints about your privacy and our collection or use of your personal information. A fair refund policy

Bad refund policies are infuriating. You feel like the company is just trying to rip you off. We never want our customers to feel that way, so our refund policy is simple: If you’re ever unhappy with Remote Team, for any reason, just contact our support team and we’ll take care of you.


Examples of full refunds we’d grant.
  • If you were just charged for your next month of Remote Team, but you meant to cancel, we’re happy to refund that extra charge.
  • If you forgot to cancel Remote Team a couple months ago, and you haven’t used Remote Team since then, we’ll give you a full refund for a few back months. No problem.
  • If you tried Remote Team for a couple months, and you just weren’t happy with it, you can have your money back.

Examples of partial refunds or credits we’d grant.
  • If you forgot to cancel Remote Team a year ago, and there’s been activity on your account since then, we’ll review your account usage and figure out a partial refund based on how many months you used it.
  • If you upgraded your account a few months ago to a higher plan, but you didn’t end up using the extra features, projects, or storage space, although you did keep using Remote Team in general, we’d consider applying a prorated credit towards future months.
  • If we had extended downtime (multiple hours in a day, or multiple days in a month) or you emailed customer service and it took multiple days to get back to you, we’d issue a partial credit to your account.

We protect your data.

All data is written to multiple disks instantly, backed up daily, and stored in multiple locations. Files that our customers upload are stored on servers that use modern techniques to remove bottlenecks and points of failure.


Your data is sent using HTTPS.

Whenever your data is in transit between you and us, everything is encrypted, and sent using HTTPS. Any files which you upload to us are stored and are encrypted at rest. Project data, messages, text documents and todos aren’t encrypted at rest — they are active in our database. Our backups of your data are encrypted using GPG.


Full redundancy for all major systems.

Our servers — from power supplies to the internet connection to the air purifying systems — operate at full redundancy. Our systems are engineered to stay up even if multiple servers fail.


Sophisticated physical security.

Our state-of-the-art servers are protected by biometric locks and round-the-clock interior and exterior surveillance monitoring. Only authorized personnel have access to the data center. 24/7/365 onsite staff provides additional protection against unauthorized entry and security breaches.


Regularly-updated infrastructure.

Our software infrastructure is updated regularly with the latest security patches. Our products run on a dedicated network which is locked down with firewalls and carefully monitored. While perfect security is a moving target, we work with security researchers to keep up with the state-of-the-art in web security.


We protect your billing information.

All credit card transactions are processed using secure encryption—the same level of encryption used by leading banks. Card information is transmitted, stored, and processed securely on a PCI-Compliant network.

We work with security researchers to keep up with the state-of-the-art in web security. Have you discovered a web security flaw that might impact our products? Please let us know. If you submit a report, here’s what will happen:

  • We’ll acknowledge your report & tell you the best way to track the status of your issue.
  • We’ll investigate the issue and determine how it impacts our products. We won’t disclose issues until our investigation is finished, but we’ll work with you to ensure we fully understand the issue.
  • Once the issue is resolved, we’ll post a security update along with thanks and credit for the discovery.

Our products are built on the Ruby on Rails framework (which we created and maintain). The issue you reported might affect Rails, Ruby, or some other part of our technology stack. We ask for your patience while we also make sure other companies and their customers are protected. Either way, you’ll always have a Remote Team contact for your issue.

  • Remote Team is our life’s work—we’re in this for the long haul. In the unforeseen and unanticipated event that the company or one of our products is acquired by another company, we’ll do everything in our power to make sure the product and this promise live on.

Taxes!

Remote Team is required to collect and remit sales tax in a number of US states and localities. Not all states tax the sale of software as a service (SaaS), but it’s becoming increasingly common. If your state is on the list below, you’ll see a line item on your monthly invoice for sales tax. The rate being collected on your invoice is determined by your billing address.

You’ll see sales tax on your invoice if you live in:

  • Chicago (Illinois)
  • Washington
  • Hawaii
  • South Dakota

If you need to change your billing information because you don’t actually reside in a taxable state, you can easily handle that within settings or Please contact our Support team at support@remoteteam.com if you have trouble.

That’s why we guarantee 99.99% monthly uptime to teams on Remote Team Big.


What is “uptime”?

“Uptime” refers to the period of time when Remote Team is up and running.


How do I find Remote Team’s uptime?

We make our uptime public here.


What happens if it’s below 99.99%?

Our Ops team is working so that we won’t find ourselves in that situation. But stuff happens, so if our uptime drops below 99.99%, we will provide an automatic credit under our SLA to our Big customers on their next billing cycle. For any given day where an outage exceeds 5 minutes, we’ll credit your account 10x for a full hour that is equal to the hourly rate you pay us for use of Remote Team. You can always check up on us here. That is the full limit of our liability under this SLA. Now you can get back to your work with the peace of mind knowing that we’ve got you covered.


How do we track that uptime?

We track uptime by measuring the server side error rate along with using server monitoring software to look at results from ping tests, web server tests, TCP port tests, and website tests. Any changes to Remote Team’s uptime are immediately shown on our Status site.
